CONSTITUTION AND BYLAWS OF THE
SOUTH DAKOTA HIGH SCHOOL COACHES ASSOCIATION
ARTICLE I
Purpose
Section I:
To promote the ethics and standards of athletics for the youth of South
Dakota.
Section II:
To work together for the promotion of high school athletics in South Dakota.
ARTICLE II
Board of Directors
Section I :
The Board of Directors shall consist of:
A. four members from each sport,
B. Four athletic/activities directors,
C. Four spirit coaches, and
D. the officers (president, president elect and Executive Director) of the organization
E: the executive secretaries of each sport organization
Three members of the Board of Directors shall be elected from each sport, to include athletic directors and spirit coaches, as per Region 1, 2 and 3 designations, shall be elected annually at the summer meeting of the SDHSCA and shall serve a three-year term. The fourth member shall be an at-large position appointed by the Native American Advisory Council of the SDHSAA and shall serve a three-year term.
The president, president elect and all past presidents shall be voting
members of the Board of Directors. The president and president elect shall serve
one-year terms.
The president of the organization shall serve as chairman of the Board of Directors. The president –elect shall be the vice chairman. The Executive Secretary shall attend and record the minutes of the meetings of the Directors.
The Board of Directors shall have complete control and management of the organization’s affairs, funds and property.
Vacancy shall be filled by appointment by the president. Appointee shall be an active coach in the sport area vacated.
Meetings: The annual meeting shall be held at the summer South Dakota High School Coaching Clinic. Other meetings may be called by the president of the organization.
Proxy Voting: A Director may vote by written proxy.
Quorum: A majority vote of the Board of Directors is required for transaction of business
Officers
Composition: The Executive Board shall consist of a president, president-elect, current past-president, and an Executive Secretary.
The term of office shall be one year unless otherwise determined by the vote of the active members.
Duties: President shall preside at all meetings of the directors and all meetings of the membership.
President-elect serves in the absence of the president
Executive Secretary shall have charge of all funds and is directly responsible to the Board of Directors. He shall submit a financial statement to the membership at the annual summer meeting and shall always be ready to give a financial statement to the Directors upon demand. He shall keep minutes and records of all meetings of both the Directors and the membership.
Membership
There shall be three types of membership: Active, allied and life
A) Active members: anyone actively coaching or directing high school athletics in South Dakota
B) Allied members: anyone coaching or directing college and/or a K-8 athletics in South Dakota. (Allied members are not eligible to hold office.)
C) Life members: any coach/Activities Director with 25 years of service in South Dakota is eligible for the 25-year service award. Association members, with a minimum of 25 years of service in South Dakota, shall receive a Lifetime Membership Card upon retirement from that active service. Active life-member coaches shall pay dues, and their dues shall be used for the S.D.H.S.C.A. scholarship activities.
Dues are to be paid at the SDHSCA clinic during the summer or by mail to the Executive Secretary.
Quorum: Majority of active membership present at meetings.
Election
A nominating committee shall be made up of past-presidents with the immediate past-president serving as chairperson.
Election shall be held during the summer meeting at the state clinic.
Nominations are made by the nominating committee and/or for the floor.
The nominating committee shall submit a list of candidates for the offices and the Board of Directors.
Meetings
A) The annual meeting shall take place at the SDHSCA summer coaching clinic.
B) Other meetings can be called by the president
Quorum: Majority of active members in attendance.
Voting by voice except as directed by the presiding officer.
General order of business:
Amendments
Submission: All proposed amendments shall be submitted in writing to the president of the association.
Adoption: Proposed amendments, with the opinion of the Directors, shall be read and a majority of the active membership is necessary for the adoption of said amendments. For amendment voting, a majority of the active membership present at the annual meeting shall constitute a quorum.
ARTICLE IX
Inspection of Books and Papers
All records belonging to the organization or open to inspection at any time to the Board of Directors. Names of past-presidents of this organization shall be printed as part of these Bylaws.
